The present sales conditions are a set of rules and terms that govern the commercial transaction between the seller ("us", "Gleth" or the "seller") and a buyer ("you", the "client" or the "buyer"). They contain all relevant information for a successful and fair transaction.
Gleth, commits to providing unlimited graphic design services to its customer for the duration of their subscription. These services include graphic design for websites, application interfaces, logos and branding, graphic charters, SaaS, stationery, slides, mail, infographics, signage and displays, social media, packaging, typography, icons, and merchandising. While this list is not exhaustive, any other service requested by the buyer will be accepted or refused at the discretion of Gleth.
Gleth guarantees to deliver its graphic design services to the Client within a maximum period of 48 hours from the order receipt for standard projects. "Larger Project" shall refer to endeavors requiring extensive resources, specialized expertise, or significant time commitments, as determined by Gleth. For Larger Projects or complex assignments, this timeframe of 48 hours may not be feasible. Hence, Gleth reserves the right to define what constitutes larger projects. In such cases, Gleth will communicate a realistic timeline tailored to the project's scope. Additionally, due to factors like high demand or unforeseen circumstances, Gleth cannot assure the immediate availability of its services at all times. Incases of anticipated delays, Gleth will promptly inform the Client and collaborate to find an appropriate solution.
We offer our clients the possibility to request minor modifications within a maximum period of 48 hours following delivery. Minor modifications are those that do not involve a complete redesign of the original graphic and can be made quickly and easily. We undertake to provide these modifications within a maximum period of 48 hours from the receipt of the modification request.
Upon delivery of any of its creations to the customer, Gleth hereby transfers all intellectual property rights and copyrights to the buyer. Consequently, the ownership of the produced work is immediately vested in the buyer upon access granted by the seller.
4.1 Annual Plan Subscription:
Should the Client choose to subscribe to the Annual Plan, they commit to four payments of €6,779 (excluding VAT), payable at the time of subscription, followed by installments at four, eight, and twelve months from the initial transaction. Cancellation of the Annual Plan is only permissible after one year from the date of the signature. In the event of early termination, the Client is required to pay the remaining balance for the contracted period. 4.2 Quarterly Plan Subscription:
In the event that the Client selects the Quarterly Plan, they commit to making one payment of €5,397 (excluding VAT) at the time of subscription. Subsequent payments are due at intervals of four months from the commencement of the transaction. Please review the "Late Payment" section for comprehensive information regarding penalties associated with delayed payments.
4.3 Monthly Plan Subscription:
If the Client opts for the Monthly Plan, they undertake to make a payment of €1,999 (excluding VAT) upon subscription. Please review the "Late Payment"section for comprehensive information regarding penalties associated with delayed payments.
Gleth applies the standard legal late payment interest in Belgium, which amounts to 8% of the principal sum for late payment exceeding 30 days after the due date of the invoice.
Gleth reserves the right to refuse any sale of services for any reason at its discretion.Furthermore, Gleth can cancel the Client's subscription at any time for any reason, including but not limited to the breach of any terms and conditions in this agreement. Upon cancellation, Gleth is not obliged to provide services for the remainder of the canceled subscription period, irrespective of unused days.This cancellation does not negate Gleth's obligations for services rendered before cancellation. In the event of termination of the Client's subscription by Gleth, the client shall be entitled to reimbursement at prorata temporis for the remaining subscription time.
Gleth, its directors, officers, employees, agents, or affiliates, will not be liable for any damages, including indirect, incidental, consequential, special, punitive, or exemplary damages, loss of profits, revenue, data, business opportunities, goodwill, or other intangible losses, arising from or related to this agreement. This limitation of liability remains in effect even after the agreement ends.
Gleth is committed to protecting client data in compliance with data protection laws such as GDPR. Personal data provided by the client will be used exclusively for service provision and will not be disclosed to third parties without express consent, except if legally required. Gleth implements appropriate technical and organizational measures to ensure data security and confidentiality.
Gleth's team in Belgium will work standard hours from 9:00 AM to 5:00 PM, local time, on weekdays (Monday-Friday), not including Belgian public holidays and any additional non-working days as determined by Gleth. While Gleth is not expected to provide services beyond these hours, exceptions can be made through mutual agreement, and may be formalized in writing by both Parties.
Neither party will be held responsible for non-performance of obligations if caused by events beyond reasonable control, such as natural disasters, war, or government restrictions. If these events prevent performance for more than 30 days, either party may terminate the agreement without liability, except for obligations already fulfilled.
Graphic design requires a significant investment in time and creativity to create a unique product for each client, and therefore, no refunds shall be granted thereafter, irrespective of circumstances, unless explicitly stated otherwise in writing and signed by all parties.
We reserve the right to modify these terms of sale as necessary to align with our evolving business practices, operational needs, legal requirements, or regulatory changes. Such modifications will be effective immediately upon posting the updated terms on our website or notifying clients directly through their provided contact information. It is the client's responsibility to review these terms periodically for changes. Continued use of our services after any such modifications implies acceptance of the new terms.
Gleth is committed to providing high-quality graphic design services to its clients. We guarantee that all graphic works will be completed according to the client's instructions and specifications, within the given deadlines and with a high level of professionalism. However, due to the subjective nature of graphic design, we cannot guarantee that the final work will be exactly as expected by the client. Nevertheless, we commit to working closely with the client to address any issues that may arise. By accepting these terms of sale, the client acknowledges having read, understood, and agreed to the graphic design service warranties provided by Gleth.
These terms and conditions of sale are governed and interpreted in accordance with Belgian laws. For any legal action related to the execution or interpretation of these terms and conditions of sale for the graphic design services provided by Gleth, the courts of Brussels, Belgium, will have exclusive jurisdiction, unless Gleth decides to bring the case before the courts of the client's domicile or registered office.
